Effective January 1, 2027. Between Rarivelle LLC (“Company”) and the approved creator (“Creator”). Acceptance occurs through Creator’s private Rarivelle Atelier dashboard: Creator types their full legal name and checks the acceptance box, and Company records the agreement version, a fingerprint (hash) of its text, the date and time, and the name entered.
1. Appointment and independence
Company appoints Creator on a nonexclusive, revocable basis to promote Rarivelle using approved links and materials. Creator is an independent contractor, not an employee, partner, agent or franchisee, and cannot bind Company or promise grading outcomes.
2. Enrollment and eligibility
Creator must provide accurate identity, contact, tax and payout information and meet these requirements: at least 18 years old, a United States resident with a US taxpayer identification number, and approved by Company after applying. Company may approve or reject applications using lawful, nondiscriminatory criteria. Creators must maintain control of their promotional channels and comply with platform rules.
3. Qualified referrals and attribution
A “Qualified Referral” means a new, eligible customer who completes a paid, nonfraudulent transaction attributable to Creator under last-click attribution (the most recent Rarivelle creator link the customer followed), within a 30-day tracking window. Excluded: self-referrals, duplicate accounts, prohibited incentive traffic, reversed transactions, chargebacks, refunded orders, tax and shipping where applicable. A later visit without a creator link does not remove an existing attribution; following a different creator’s link replaces it. Tracking records maintained by Company are rebuttable with reasonable evidence of error.
4. Commission schedule (Exhibit A)
Exhibit A specifies: rate 30% of what each referred customer pays; one-time or recurring recurring; commissionable revenue subscription fees Rarivelle actually collects, excluding refunds, chargebacks, taxes and self-referrals; duration the referred customer’s first 12 months; payment threshold $25 (smaller balances carry over to the next month); payout cadence monthly; currency US dollars; return and chargeback hold 30 days after each payment (the refund window); tax form requirements Creator completes Stripe’s payout onboarding, including tax information (such as IRS Form W-9), before the first payout; tax forms such as Form 1099 are issued as required by law. No commission is owed until the schedule is accepted. Rates may be changed prospectively with 30 days’ notice but not retroactively on already earned valid commissions.
5. Free Premium access
Company may provide Rarivelle Pro free for as long as Creator remains an active, eligible member while Creator remains eligible. This benefit has no cash equivalent, may be ended on 30 days’ notice, and is a material connection that Creator must disclose when endorsing Rarivelle.
6. Advertising compliance
Creator must clearly and conspicuously disclose paid, gifted or affiliate relationships near each endorsement (for example, “I earn a commission if you sign up through my link”). Disclosures must be understandable on every relevant platform and not hidden solely in profile bios or hashtags. Creator must make truthful claims based on actual experience and avoid guarantees of profits, grade outcomes or official affiliation.
7. Brand and content permissions
Company grants a limited, nonexclusive, nontransferable license to use approved Rarivelle marks solely for authorized promotion. Creator retains rights to their original content and grants Company a limited license to repost specific approved promotional content only with these terms (Creator’s written permission for each specific piece, by email or in writing; credit to Creator; and removal on Creator’s request) clearly agreed; no perpetual blanket publicity rights by default. No Pokémon or other third-party artwork rights are granted.
8. Prohibited promotion and fraud
No spam, undisclosed paid search on protected brand terms (“Rarivelle”, “Rarivelle Atelier”, “Card Café” and misspellings of them), cookie stuffing, misleading redirects, fake reviews, automated signups, fabricated results, impersonation, unauthorized giveaways or deceptive income claims. Company may reasonably investigate and temporarily hold disputed commissions; it will provide a method to challenge findings.
9. Payment, adjustments and taxes
Eligible commissions are calculated after the 30-day refund window and paid within 30 days after each month, subject to threshold $25 (smaller balances carry over to the next month). Reversed or invalid transactions may be netted against future amounts, with a transparent ledger. Creator is responsible for their taxes and any legally required tax documentation; Company will comply with reporting and withholding rules.
10. Term and termination
Either party may terminate on 30 days’ notice; immediate termination for material fraud, unlawful conduct or serious brand harm after appropriate review. After termination, approved use of marks stops and free benefits end under disclosed rules. Earned, valid unpaid commissions remain payable under the agreed schedule; post-termination attribution and recurring commissions follow this rule: no commissions are earned on payments made after the termination date (there is no post-termination tail).
11. Confidentiality, liability and disputes
Protect nonpublic commission, customer and technical information. Neither party may disclose customer personal information except as authorized. No guarantee of minimum earnings or traffic.
